ACCEPTANCE OF TERMS

These terms and conditions constitute an agreement between you ("User") and Kadeyo Ventures ("Kadeyo") and govern your use of the services ("Service") provided by Kadeyo website ("Website") and your submission of any material, including without limitation, your comments, name, text, photographs, videos, and any other content or information ("Content") for use of the Service as set forth below.

Although Kadeyo will not be liable for your losses caused by any unauthorized use of your user account, you may be liable for the losses of Kadeyo or others due to such unauthorized use.

IMPROPER OR IMPERMISSIBLE USE

If Kadeyo suspects that an account is being used for storage or distribution of any illegal or copyrighted or illicit content or for some other improper or impermissible purpose, then Kadeyo may take any steps it deems necessary to protect the integrity of its Services and business.

USER GENERATED CONTENT

You agree that you are responsible for your own conduct and communications while using the Website. You are entirely responsible for all Content that you upload, post or otherwise transmit via the Website. You agree not to upload, post or otherwise transmit via the Website Content that: (a) is inaccurate, harmful, obscene, pornographic, defamatory, racist, violent, offensive, harassing, or otherwise objectionable to Kadeyo or other users of the Website; (b) includes unauthorized disclosure of personal information; or (c) violates or infringes anyone's intellectual property rights. You agree not to upload, post, or otherwise transmit materials which contain software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

You agree that you will not use the Website to: (a) forge headers or otherwise manipulate identifiers (including URLs) in order to disguise the origin of any Content transmitted through the Service; (b) misrepresent your affiliation with a person or entity; (c) disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users' ability to use the Website; (d) engage in activities that would violate any fiduciary relationship, any applicable local, state, national or international law, or any regulations having the force of law, including but not limited to attempting to compromise the security of any networked account or site, operating an illegal lottery or gambling operation, stalking, or making threats of harm;

You agree that your account may be suspended or terminated at any time and without prior notice, if Kadeyo believes that you have violated or acted inconsistently with the letter or spirit of these terms and conditions. If your Content contains what appears to be illegal conduct, Kadeyo may notify law enforcement authorities.

RIGHTS TO USE YOUR CONTENT

You retain ownership in your Content. Kadeyo does not claim ownership of any Content communicated or submitted by User. By placing Content on the Website, you grant Kadeyo a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, fully paid up license, with full rights to grant sub-licenses, to use, reproduce, modify, adapt, translate, create derivative works from, distribute, perform, display and publish the Content, in whole or in part, on the Website and/or to incorporate in other works in any form, media or technology now known or later developed.

PRIVACY STATEMENT

You consent to the collection, processing and storage by Kadeyo of your personal information in accordance with the terms of Kadeyo Privacy Policy. You agree to comply with all applicable laws and regulations, and the terms of Kadeyo Privacy Policy, with respect to any access, use and/or submission by you of any personal information in connection with this Website.

INDEMNIFICATION

By using the Website and/or the Services you agree that you shall fully defend and indemnify Kadeyo including its officers, directors, owners, managing agents, attorneys, contractors, licensees, shareholders, related entities, heirs, and assigns, from any and all claims, demands, actions, suits, losses, liabilities, damages, injuries, fines penalties, costs and expenses, attorneys' fees, arbitration fees, mediation fees, expert expenses, and all other consequences (a) directly or indirectly resulting from any and all failure(s) of you to fully comply with your obligations and other provisions set forth in this terms and condition, including, but not limited to, your warranties set forth above or your violation of a third party's intellectual property rights (b) arising out of any property damage or recoverable economic loss incurred by a third party, to the extent such damage or loss is caused by any act or omission of you in connection with this Agreement, including but not limited to (i) any content transmitted by you or any user of your account; or (ii) any use or misuse of the Services or the Website by you or any user of your account. You agree that Kadeyo shall have the right to participate in the defense, and to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in of any such claim through counsel of its own choosing at your expense.

LIMITATION OF LIABILITY

Kadeyo, its employees, agents, officers and directors will not be liable for any direct, indirect, incidental, punitive, consequential, special, exemplary, or other damages, including, without limitation, loss of revenue or income, pain and suffering, emotional distress, or similar damages, or damages resulting from any (i) errors or omissions in content, (ii) any unauthorized access to or use of our servers and/or any and all personal information and/or financial information stored therein, (iii) any interruption or cessation of transmission to or from our website, (iv) any bugs, viruses, trojan horses, or the like, which may be transmitted to or through our website by any third party, (v) for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the website. (vi) your use of and access to the website; (vii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (viii) any claim that you did not have the right to provide any user content or that your user content caused damage to a third party. This defense and indemnification obligation will survive these terms and your use of the website. In such a case, Kadeyo will provide you with written notice of such claim, suit or action.

OWNERSHIP OF INTELLECTUAL PROPERTY

You acknowledge and agree that nothing contained in the Website or Service shall be construed as granting, by implication or otherwise, any license or right to use any Mark displayed on the Website or Service without the written permission of Kadeyo or such third party that may own the Mark displayed on the Website or Service.

USER INTELLECTUAL PROPERTY RIGHTS

By making Your Content accessible to other users, you agree to allow any users of the Website free of charge and for personal use only, to view and transmit your Content on or through the Website, on other electronic communication media or technology (e.g. mobile phones), for the entire period in which your Content is hosted on the Website. And you authorise us to reproduce/display your Content and, as necessary, adjust its format for that purpose. You are responsible for taking all appropriate steps to protect such Content, where applicable.

MISCELLANEOUS

If any provision of these terms and conditions is held to be illegal, invalid or unenforceable under present or future law effective during the term hereof, such provision shall be fully severable and this terms and conditions shall be construed and enforced as if such illegal, invalid or unenforceable provision never comprised a part hereof, and the remaining provisions hereof shall remain in full force and effect and shall not be affected by the illegal, invalid or unenforceable provision or by its severance from these terms and conditions.
